As your business or organization grows and company information changes, you may need to amend your registration with the state. Changing the legal name, business address, or management are common reasons to amend your articles of incorporation or articles of organization. Amendments are typically filed in the state of incorporation, however, if your entity is registered in other states, you may need to amend in multiple states.

For Domestic Corporations:

Form:
  • Articles of Amendment - A corporation may add or change any of the provisions contained in Articles I through VI of its original articles of organization by filing articles of amendment. Any provisions not required in the articles of organization may also be deleted with an amendment.
  • Restated Articles of Organization - A restatement of the articles of organization consolidates all of a corporation’s amendments into a single document. A corporation may concurrently amend its articles when a restatement is filed and include the amendments in the restated articles.
  • Articles of Correction - A domestic corporation may correct a filed document if the document contains a typographical error or incorrect statement, or was defectively executed, attested, sealed, verified or acknowledged.
  • Statement of Change of Supplemental Information Contained in Article VIII of Articles of Organization - Any changes to the information contained in Article VIII of the corporation’s articles of organization must be set forth in a change of supplemental information. Registered agent and registered office changes cannot be made on this form.

Notes:

If any statement in the application for registration of a foreign limited liability company was false when made or any arrangement or other facts described have changed, making the application inaccurate in any respect, the foreign limited liability company shall promptly file with the Division a certificate signed and sworn to by an authorized person correcting or amending such statement.

  • Articles of Amendment - A non-profit corporation may amend its articles of organization by a vote of two thirds of its members legally qualified to vote at a meeting called for the purpose of amending its articles.
  • Certificate of Change of Directors or Officers - Non-profit corporations may specify any changes in officers or directors by filing a certificate of change of directors or officers.
  • Certificate of Change of Principal Office - Non-profit corporations may specify any changes to the principal office address by filing a certificate of change of principal office.  Post office boxes are not acceptable as a principal office address.
  • Certificate of Change of Fiscal Year - Non-profit corporations may specify any changes to the date of the fiscal year end by filing a certificate of change of fiscal year.
  • Restated Articles of Organization - A non-profit corporation may restate its articles of organization by a vote of two thirds of its members legally qualified to vote at a meeting called for the purpose of restating its articles.
  • Certificate of Correction - A non-profit corporation may correct a filed document if the document stated an inaccuracy, or was defectively or erroneously executed.

Notes:

Every limited partnership must file with the Corporations Division an amendment to a limited partnership certificate within 30 days after the happening of any of the following events:

  • The admission of a new general partner
  • The withdrawal of a general partner
  • The continuation of business under s.44 after an event of withdrawal of a general partner

For Foreign Limited Partnerships:

Notes:
  • If any statement in the application for registration of a foreign limited partnership was false when made or any arrangements or other facts included have changed, the foreign limited partnership shall file a certificate correcting or amending the statement. The corrected or amended certificate must be signed and sworn to by a general partner.
  • In the case of an amendment to a foreign registration, a confusing situation may occur. For instance, a California limited partnership may have filed three amendments in California before registering to do business in Massachusetts. Therefore, the fourth amendment to the California limited partnership would be the first amendment to the Massachusetts registration. The amended registration should state this fact.
