Illinois Annual Report

Annual and biennial reports are entity information updates typically filed with the Secretary of State. Depending on the state and entity type, report due dates and fees vary. See the table below for information on filing a report in Illinois.

For Domestic Close Corporations:

BCA 14.05 D: Domestic Corporation Annual Report

Filing method:

Mail or online.

Agency fee:

$75 + minimum $25 franchise tax. Domestic corporations may file online for a $50 expedite fee.

Due:

Prior to the first day of the registration anniversary month. So if you incorporated or foreign-qualified on February 14th, then your annual report is due January 31.

Penalties:

Late fee is calculated based on franchise tax due.

For Domestic Corporations:

$75. Filing online requires a $50 expedite fee.

Due:

Prior to the first day of the registration anniversary month. So if you incorporated or foreign-qualified on February 14th, then your annual report is due January 31.

Law:

Illinois Statutes § 805.50.1.

Penalties:

$300 at 60 days late.

  • You must submit original signatures.
  • Changing your registered agent requires submitting a separate form.

For Nonprofit Corporations:

Domestic/Foreign Corporation Annual Report

Instructions:

No initial report is required.

Filing method:

Mail or online

Agency fee:

$10; filing online requires a $50 expedite fee.

Due:

Annually by the end of the month prior to the corporation anniversary month. Can be filed up to 60 days prior to the start of the anniversary month.

Law:

805 ILCS 105/114.10

Penalties:

$3 penalty if late.

Notes:

Cannot be filed online if:

  • The corporation owns property outside of illinois and /or transacts business outside of Illinois.
  • There have been changes in authorized shares, issued shares and/or paid-in capital. The annual report must be filed on paper accompanied by the appropriate document(s) changing the authorized shares, issued shares and/or paid-in capital.
  • You need to enter more than six officers or six directors, you must file a paper annual report.

For Domestic Professional Corporations:
