Due:

Biennially by the end of the registration anniversary month. So if you incorporated or foreign-qualified on March 15, then your annual report is due every two years by March 31.

Law:

Indiana Code § 23-1-53-3.

Penalties:

No late fee. Your business can be dissolved or revoked at 120 days late.

Notes:
  • Anyone with authority may file.
  • Original signatures are not required.

For Limited Liability Companies:

  • The first annual report must be delivered to the secretary of state in the year following the year in which a domestic corporation was incorporated or a foreign corporation was authorized to transact business.
