Business Corporations:

  • Officers and directors need not be licensed, but the corporation must appoint a Missouri licensed individual, who is a full-time employee, to be responsible for the firm's practice of architecture in Missouri.

Domestic Professional Corporations:

  • All of the shareholders, officers (other than the secretary), and directors must be licensed in a professional service performed by the PC.

Foreign Professional Corporations:

  • All of the shareholders, at least a majority of the directors and all the officers other than the secretary and treasurer must be licensed in a professional service performed by the PC. 

Limited Liability Companies:

  • Members and managers need not be licensed, but the LLC must appoint a Missouri licensed individual, who is a full-time employee, to be responsible for the firm's practice of architecture in Missouri.
Notes:

Partnerships, including LPs and LLPs, are not required to obtain a certificate of authority (license) from the Board since its members are subject to Board regulation.

Qualifying Individual Requirements:
  • Only an owner or officer of the applicant corporation, or member or manager of the
    applicant limited liability company, or a full-time employee of the applicant corporation or the applicant limited liability company is eligible to be the managing agent. If the managing agent is also the person providing immediate personal supervision, as defined by Board Rule(s) 20 CSR 2030-13.010 and/or 20 CSR 2030-13.020, then that person must be employed directly under the licensee’s organizational structure
  • The managing agent’s responsibilities include:
    • Renewal of the certificate of authority and notification to the board of any changes in the firm;
    • Overall supervision of the professional and licensing activities of the firm and its employees; 
    • Assurance that the firm institutes and adheres to policies that are in accordance with Chapter 327 RSMo and 20 CSR 2030; and
    • Assurance, in the case of multiple offices, that the requirements for immediate personal supervision, as defined by Board Rule(s) 20 CSR 2030-13.010 and/or 20 CSR 2030-13.020 are being met.”

In addition to the personal seal, the licensee shall also affix his/her signature and place the date when the document was originally sealed, at the minimum, to the original of each sheet in a set of all final technical submissions that include, but are not limited to, drawings, specifications, exhibits, plats, reports, surveys, and certifications of construction prepared by the licensee or under his/her immediate personal supervision. The term “signature,” as used herein means the following:...

(B) For electronic or digital documents transmitted to others in their native file format (e.g., AutoCAD, Revit, Word, or Excel), a digital signature with an electronic authentication process attached to or logically associated with the document. The digital signature must be unique to, and under the sole control of the person using it; it must also be capable of verification and be linked to a document in such manner that the digital signature is invalidated if any data on the document is altered.
