California Accountancy Corporation Registration (Resident)

Ownership Requirements:
  • At least one shareholder is a California-licensed CPA/PA in good standing.
  • Each director, shareholder, and officer must hold a valid license to practice public accountancy in any state.
  • The director must be a licensed shareholder.
  • A corporation may also have a non-licensee shareholder, vice president, or secretary (officer). However, a non-licensee may not be both a shareholder and an officer.
  • A non-licensee cannot be a director of the firm.
  • If the non-licensee is a shareholder, the non-licensee must materially participate in the business of the firm. Non-licensees must comprise a minority of owners. The only exception is that a firm with two shareholders may have one shareholder who is a non-licensee.

Foreign Qualification is Prerequisite:No
Ownership Requirements:
  • At least one general partner is a California-licensed CPA/PA in good standing.
  • Each partner not personally engaged in the practice of public accountancy within California holds a valid CPA license in some state.
  • The number of licensed partners as owners must be greater than the number of unlicensed persons. The only exception is that a firm with two owners may have one owner who is a non-licensee.
  • Every office in California needs to be under the supervision of a Resident Manager who is a California-licensed CPA/PA in good standing
