Registration requirements for Delaware business entities

Business entities that plan to use a name other than their legal business name may need to register an assumed name. Assumed name registration can take place at the state, local, or state and local levels of government. State specific registration information is available below.

Is registration mandatory?

A corporation or limited liability company transacting business in Delaware under a trade name or title that does not disclose the legal name of the corporation or limited liability company may, but is not required to, register the trade name with the Division of Revenue. Individuals, associations, and other entities using any trade name or title which does not disclose their legal name must register the trade name with the Division of Revenue.

Trade names are only filed at the state level in Delaware.

Delaware Trade names do not confer any legal rights and only ensure the appropriate parties can be reached in the event contact is necessary for legal or other reasons.

Effective February 2, 2026, the Delaware Division of Revenue will assume exclusive authority over all trade name (DBA) registrations statewide. This change replaces the current county-level system previously administered by the Courts of New Castle, Kent, and Sussex Counties.

Applicants must hold a Delaware Business License to register a trade name. Entities that do not intend to do business in Delaware but want to register a trade name may obtain a Trade Name Only Business License to meet this requirement.

Required Attachments:
  • Names and addresses of business ownership (officers, directors, or shareholders with more than 10% of equity)
  • Any LLC or Corporation entity that is not actively transacting business in Delaware will be required to provide a Certificate of Good Standing from the Delaware Division of Corporations

Trade names in Delaware do not have a regular expiration and do not require renewal as long as they are used by a business with an active business license or trade name only license. If a license is not maintained for three or more years, the Trade Name will revert to the available pool and the business will be notified.
