Oregon Passes New Law Limiting Use of Virtual and Mail Forwarding Addresses in Business Filings

Oregon recently passed House Bill 3588, which is now in effect. This new law changes how businesses can list addresses on official filings with the Oregon Secretary of State. The goal is to ensure that the addresses listed in public records show where the business is located.

What the New Law Says

Businesses in Oregon can no longer use certain types of addresses when they file paperwork with the state. These include mail forwarding services, virtual offices, and commercial mail receiving agencies, also known as CMRAs. The new law applies to the main business address, registered agent address, and other contact addresses required for specific business types, like limited partnerships.

There is one exception to this rule. If a business uses a CMRA with the exact same street address as its main office, that CMRA may still be used in filings. In these cases, businesses can also ask the state to keep the physical address private so it is not shown on public records.

The Secretary of State now has the right to check if addresses in business filings follow the new law. However, the law does not require the state to check every filing. This means that some filings may be reviewed more closely than others. If a business uses an address that is not permitted, it may face delays or have its filing rejected.

The new law will remain in effect until January 2, 2027, unless lawmakers decide to extend or change it. Before that date, the Secretary of State must complete a report by September 15, 2026, to show how the new law has worked in practice.
