Once exempt from filing public information reports, the secretary may request a periodic report once every 4 years and the request will state the due date.

$1/month late fee. Your nonprofit risks dissolution or revocation.

  • Public information reports are due annually unless the organization has been granted exemption from the Texas Comptroller.
  • File two copies.
  • An officer, director, manager, member, partner, or agent must file.

Penalties:

Corporations that do business in Texas prior to foreign qualification may be subject to penalty fees of $750 for every year (or partial year) prior to foreign qualification. Penalties begin to accumulate after 90 days of doing business without registration.

Is registration mandatory?:

Filing an assumed name registration is mandatory to conduct business under any other name than your personal legal name or a registered business name.

Law:

TX Statutes § 5-71

County Level Filing:

Sole-proprietorships and general partnerships file only at the county level while other entities file with the secretary of state.

Does registration prevent others from using the name I choose?:

Registration of an assumed name does not offer name protection.
