The Arizona Corporation Commission (ACC) has announced several new policies to fight business filing fraud. These changes affect how businesses file paperwork and keep their records up to date. Some rules begin on June 16, 2025, while others will start when the ACC launches a new online filing system later this year. Here’s what business owners need to know.
New ID Requirements for Business Filings
Starting June 16, 2025, anyone filing business documents in person must show two forms of identification. This rule helps the ACC confirm that the person filing is allowed to act on behalf of the business. Online, fax, and mail filings will also require ID, but those rules will take effect later with the new online system. If a service company or law firm is filing on your behalf, they will have a different process to prove their identity.
Signing Authority Form for LLCs
LLC owners can now fill out a Signing Authority Form to name who is allowed to sign documents for their business. Only current members or managers listed on the business record can complete this form. It must be filled out in person with proper ID, in front of ACC staff. Once submitted, this form will be used to check that future filings are signed by an approved person.
LLC Attestation of Existence
The ACC is adding a new rule that asks LLCs to confirm they are still in business. Each January, the ACC will email LLCs that have not filed anything in two years. Business owners or their registered agent can respond by clicking a button through an online portal. If there is no response within 60 days, the business status will change to “pending inactive.” After 120 days, the state may dissolve the LLC.
Option to Use Your Filing Forms
Corporations can now use their own Annual Report and Certificate of Disclosure forms, as long as they meet all legal rules and include the ACC’s Guidance Worksheet. This gives businesses more flexibility. Starting June 16, 2025, this option is available for all filing types, including in person, online, fax, and mail.
