New Pennsylvania Annual Report Filing Requirement Impacts Most Organizations

Beginning January 2025, business entities registered in Pennsylvania must file an annual report with the Pennsylvania Department of State Bureau of Corporations. The change went into effect on January 2, 2023, with the passage of 2022 Act 122.

This new requirement replaces the Commonwealth’s unique decennial report requirement. It also replaces the nonprofit corporation annual report requirement, which required nonprofits to file each year in which they had a change in officers. Nonprofit corporations will not need to file an annual report in 2023, but they will have a new annual report requirement starting in 2025.

What Is an Annual Report?

Annual reports are filings due to the secretary of state each year. This ensures the state has current information about your organization, such as its address and leadership. Most states also assess a filing fee. 

Entities such as LLCs, corporations, and nonprofits, are required to file annual reports to maintain good standing. Almost every state has an annual report requirement of some kind. 

Due dates, filing fees, and forms vary greatly by entity type and whether the entity is domestic or foreign to the state. Some states have biennial reports (due every two years). State due dates are also calculated on when your entity originally registers with the state.

What Is the Due Date for the New Pennsylvania Annual Report?

The deadline to file the new Pennsylvania annual report will vary based on the type of entity.

  • The due date for Corporations and Nonprofit Corporations will be before July 1 of each year.
  • The due date for LLCs will be before October 1 of each year.
  • The due date for other entities will be before December 31 of each year.

Pennsylvania requires an entity to file its first annual report in the year after it registers with the Department of State  For example:

  • An LLC that registers on June 15, 2024, would have its first filing deadline on October 1, 2025. 
  • An LLC that registers on June 15, 2025, would have its first filing deadline on October 1, 2026.

What Is the Filing Fee for the New Pennsylvania Annual Report?

The annual filing fee is $7 for corporations, LLCs, and limited liability partnerships (LLPs). There is no fee ($0) for nonprofit corporations.

Pennsylvania’s annual report will require the following information:

  • The business entity name
  • The entity’s jurisdiction of formation
  • The name of at least one director, member, or partner
  • Names and titles of the principal officers
  • The address of the principal office
  • The entity number issued by the Pennsylvania Department of State
