DC Biennial Report Due MAY 1st, 2015

The Department of Regulatory and Consumer Affairs, informally known as the DCRA, has extended the deadline for DC biennial report filings to May 1, 2015. The typical due date is April 1, 2015.

As is common with Departments of State, the DCRA cites “unanticipated delays” in processing of corporate filings and annual reports, causing the office to announce the extension.

Business entities can now file through May 1, 2015 without incurring late fees.

Currently, the biennial report fee is $300 for for-profit corporations and LLCs, and $80 for nonprofit corporations.

Filing after the due date incurs an additional penalty, and the DCRA may administratively dissolve your entity. As compliance fanatics, we at Harbor Compliance recommend filing early so that you can be sure you’re in compliance with the DCRA (and so that you don’t forget!).

Is my biennial report due this year?

Good question. DC like several other states require businesses and nonprofits to file every two years, which can make remembering more difficult. Here’s how the DCRA works:

-You will file your first DC biennial report by April 1 of the year following formation/incorporation. For example, if you incorporated November 1, 2014, you would file by April 1, 2015 (now extended to May 1, 2015). If you incorporated January 1, 2015, you would file before April 1, 2016.

-You will file every two years from that initial file date. So, if this year is your first report (April 1, 2015), your next report is due April 1, 2017. If you last filed in 2014, it’s not due until 2016. If you filed in 2013, your report is due this year.

Using this knowledge, you can calculate when your DC biennial report is due. If you’re still not sure, consult your company records to see when the last report was filed. Alternatively, search for your entity’s filing history on the DCRA website.
