Duties of Wyoming Registered Agents

A registered agent receives and forwards service of process to the designated person in your organization, as well as other official communications that require your attention. According to Section 17-28-107 of the Wyoming Statutes, a registered agent is also obligated to:

• Maintain a physical address in Wyoming—known as a registered office—to which legal notices can be delivered
• Keep track of information regarding their represented entities, most notably:
• “Key Individuals”—Names and addresses of officers, directors, and other members of a similar capacity
• “Communications Contact”—Name, address, and phone number of the person authorized to receive official notices from the agent

Regardless of these additional responsibilities, your agent’s primary duty is to ensure all important notices reach you timely. Failing to do so can result in you being unaware of legal action taken against your organization, so you might not show up in court when needed. In this case, the court would most likely resort to default judgment and rule in the plaintiff’s favor.

Wyoming Registered Agent Requirements

Wyoming Statutes (Section 17-28-101) allow the following to act as registered agents:

1. An individual of legal age (18 and over)
2. A domestic organization other than yours
3. A foreign organization authorized to transact in Wyoming

An organization can have multiple people authorized to receive your notices, so there’s a much lower chance of missed correspondence than with an individual.

Like several other states, Wyoming distinguishes between commercial and noncommercial registered agents, with the main difference being the number of represented entities. As per Section 17-28-105 of the Wyoming Statutes, any agent representing more than 10 entities is required to register as a commercial agent and may not:

• Have a history of felony convictions
• Approach the registered agent role in a way that shows intent to defraud the public

If the agent is an organization, these requirements extend to its key individuals. The organization also can’t employ any key individuals or authorized persons whose rights to serve as a registered agent have been revoked by the secretary of state or another state’s equivalent official.

How To Appoint/Change a Registered Agent in Wyoming

Organizations expanding from another jurisdiction must name an agent in their foreign qualification filings in order to obtain a certificate of authority.
